Overview

Will Richmond is a corporate healthcare partner in the Washington, D.C., office of Kirkland & Ellis LLP. Will provides legal counsel to private equity funds, venture capital, and public and private companies with a focus in a broad range of healthcare transactions and regulatory matters. Will’s experience includes providing transactional and regulatory compliance advice across a broad spectrum of industries including healthcare providers, management/dental support organizations, pharmacies, medical device companies, drug manufacturers, health insurance providers, pharmacy benefit managers, managed care organizations, contract development and manufacturing organizations, clinical trial operators, and non-profit healthcare providers and hospital systems.

Will regularly advises on all aspects of healthcare transactions including term sheet negotiations, transaction structure, diligence, regulatory filings, RWI processes and lender negotiations. He also advises companies on new and proposed laws and regulations, commercial contract negotiations, physician contracting, healthcare investigations, and regulatory audits and inspections. Will’s extensive subject matter experience includes healthcare fraud and abuse laws such as the Anti-Kickback Statute and the Stark Law, FDA compliance requirements, healthcare reimbursement, HIPAA, corporate compliance programs, the corporate practice of medicine, and transactions involving state and federal tax-exempt entities. Will also helps clients navigate the growing regulatory requirements imposed by state healthcare transaction laws and has He also advises clients on healthcare regulatory matters incident to restructurings, bankruptcies and liability management transactions.
